Report of non-compliance to the shareholders of Nyrstar NV for the year ended

31 December 2018

In the context of the statutory audit of the annual accounts of Nyrstar NV (the "company"), we hereby report to you on our assignment as statutory auditor, in application of article 143, second paragraph of the Companies Code.

Information that we believe to ^{be material} to conduct our audit activities has not been delivered to us in time and for this reason we have not been able to consider it as part of our audit procedures. We have therefore not had the opportun¡ty to fully evaluate this information and more importantly the impact it may have on our audit conclusion.

At this date, in view hereof we are not able to establish our statutory auditor's opinion on the annual accounts to the shareholders' meeting, nor could we respect the deadline set in the Companies Code with respect to the submission of our statutory auditor's opinion to ^you.

Today we have notified the board of directors of these events and have reminded them the ^legal obligation regarding the submission of the required documents to the statutory auditor and to the shareholders.

This report does not const¡tute a statutory auditor's opinion as referred to in articles 143, first paragraph and L44 of the Companies Code and cannot be used to comply with the requirements set in articles 100 g 1, 40 of the Companies Code.
