Partnership agreement between the

Associação para o Desenvolvimento da Viticultura Duriense - ADVID (Association for the Development of Viticulture in the Douro Region)

and Whereas:

An application has been made for recognition of a Collective Efficiency Strategy of the "Other Clusters" type under the Competitiveness Factors Operational Programme (POFC) of the Portuguese Ministry of Economy and Innovation known as

Cluster dos Vinhos da Região Demarcada do Douro” (Douro Demarcated Region Wine Cluster), based on the organisational structure of ADVID;

The object of ADVID, according to its statutes, is the study, experimentation, demonstration and dissemination of viticulture and wine-making techniques adapted to the specific characteristics of the Douro Demarcated Region, with a view to increasing the competitiveness and quality of the wines in national and international markets, on its own initiative or in collaboration with state or private, national or foreign organisations or services;

The objectives established for the Douro Demarcated Region Wine Cluster, set out in the application submitted and in the ADVID Plan of Activities for 2009 are:

• To promote increased investment in R&D and Corporate Innovation activities;

• To increase the level of technical and financial skills in the wine sector;

• To optimise the pursuit and dissemination of knowledge in the Region;

• To develop methodologies that encourage the operational efficiency of wine production;

ADVID has a capacity to carry out studies and technical research, disseminate knowledge, attract outstanding technical and scientific skills, and train professionals from different areas and with varying levels of qualification in the field of wine-making, its credibility demonstrated over more than 26 years of successful and consistent activity for all participants in the wine industry in the Douro Demarcated Region;

There are development themes adaptable to projects in which the partnership between the participants means that the results of those projects are greater than the sum of the individual efforts of each party;

There is a need to establish a formal bond between the participants in the cluster in order to meet the legal and organisational requirements necessary to create projects eligible to apply for public funding;

It is hereby established between:

1st Party: Associação para o Desenvolvimento da Viticultura Duriense (ADVID), VAT No 501.263.055 with registered office in the city of Régua (Portugal), represented herein by its Directors, Dr. António da Rocha Graça and Engº José Manuel Meneres Manso;

2/2 Article 1

In the direct application of Article 2 of the Statutes of ADVID, both parties agree to cooperate in the Douro Demarcated Region Wine Cluster, in accordance with the recognition obtained by the Competitiveness Factors Operational Programme as a Collective Efficiency Strategy of the "Other Clusters" type, taking the necessary measures, in compliance with applicable legislation, namely to create, develop and complete Research and Development projects of mutual interest, as well as the permanent activities referred to in Paragraph 3 of the aforementioned article:

(a) vocational training, particularly in the fields of retraining and specialised courses;

(b) the promotion and protection of the environmental and landscape heritage of the Douro Demarcated Region;

(c) the promotion of integrated protection and production practices, organic production, technical support and promotion of the products obtained;

(d) collect, process and disseminate information of interest to the development of the wine sector.

Article 2

The framework of this partnership is precompetitive for which reason both parties agree to broadly collaborate in the dissemination of the results obtained with a view to the effective communication and endogenisation of the results throughout the Douro Demarcated Region wine sector.

Article 3

Both parties agree that the projects that are the subject of this agreement should comply with the criteria for the definition and prioritisation of requirements established in the context of the Douro Demarcated Region Wine Cluster, in accordance with the Action Plan submitted in the respective application for recognition of the Collective Efficiency Strategy.

Article 4

Both parties shall make all necessary efforts to optimise the use of the funding available to support expenditure related to the execution of the projects resulting from the partnership, undertaking to carry out the tasks that may be defined in the plans of the initiatives for which applications are submitted under different support programmes.

Article 5

This agreement shall be reviewed on an annual basis and automatically renewed if no changes are introduced by the parties.
