Estrutura organizacional a partir de setembro de 2015
Construção
• Com a nova estrutura organizacional, estimamos redução de custos com pessoal em R$ 22 milhões ao ano;
Impairment
Nesse trimestre reconhecemos R$ 57,1 milhões de impairment sendo:
O valor recuperável desses ativos foi determinado com base em projeções econômicas para determinação do seu valor de mercado, pela abordagem de renda, através da projeção de fluxo de caixa descontado, num período de 10 anos.
Premissas:
(i) receitas projetadas com base nos dados históricos, bem como em perspectivas de
crescimento do segmento e da economia brasileira;
(ii) a execução de programa contínuo de melhoria de produtividade e de redução de custos e
despesas fará com que sua evolução seja inferior ao percentual de crescimento da receita; (iii) os respectivos fluxos são descontados pelo custo médio ponderado de capital (WACC); (iv) política de controle estrito na evolução do capital de giro, nos anos da projeção.
Unidade geradora de caixa Construção: A Administração estima que o valor recuperável dos ativos da Unidade de Negócio Construção, incluindo o ágio da aquisição da Jahu em 2008 e da GP Sul, em 2011, é de R$ 442,5 milhões versus um valor contábil em dezembro de 2015 de R$ 473,4 milhões. Desta forma, houve, neste ano, a necessidade de constituição de provisão para perda no valor recuperável desse ativo no montante de R$ 30,9 milhões.
Investimento na Rohr: Administração estima que o valor recuperável do investimento na Rohr é de R$ 61,2 milhões fazendo com que, neste ano, haja a necessidade de constituição de provisão para perda no valor recuperável desse ativo no montante de R$ 26,2 milhões.

Impairment
This quarter a provision for impairment was required in the amount of R$ 57.1 million:
The recoverable amount of these assets was determined based on economic forecasts for determining the market value of the investee, upon a revenue approach, through a 10-year term : discounted cash flow forecast.
Assumptions
(i) revenues were forecast based on historical data and growth prospective for the segment and Brazilian economy;
(ii) negative operating loss for 2015, resulting from the reduced activity of the industry;
(iii) the corresponding cash flows are discounted at the average discount rate, obtained using a methodology typically applied by the market, taking into account the weighed average cost of capital (WACC);
(iv) a strict working capital evolution control policy, during the forecasted period..
Construction Business Unit: Management estimates that the recoverable amount of the assets of the Construction Business Unit, including the goodwill on acquisiton of Jahu in 2008 and of GP Sul, in 2011, is R$ 442.5 million, against R$ 473.4 million on December
2014. This way, provision for impairment of this asset in the amount of R$ 30.9 million
was required.

Reasons for the fundraising:
The resources aims to strengthen the capital structure of the Company, by reinforcing its cash to meet medium- and long-term needs for development of its activities, allowing investment in new technologies, products that increases productivity, or acquisitions at an unstable macroeconomic scenario and in its sector. The strengthening of liquidity at this point is relevant to assign greater flexibility to the Company to respond to variations in cash generation and competitive conditions.
