HEALTHCARE TELEMATIC APPLICATION IN CYPRUS C.S
The parties acknowledge that software developed by Gerber Alley (Ireland) Limited (“Gerber Alley”) is described herein and that Gerber Alley entered into the Precision Alternative™ System Agreement dated 2 6 * July 1991 (“S ystem A greem ent”) with the Ministry of Health in support of the software at A rchbishop M akarios III General Hospital for the initial period and renewal of terms, as stated in the system agreement. Capitalized terms used herein shall have the same meaning as set forth in Exhibit A to the HISS Agreement. C oord in compliance with the third-party software are vendors and hardware vendors approved by M cKessonH B O C to resolve issues related to the interaction of the hardware, software, and third-party software. Contract with the current hardware supplier or a third party (approved by McKesso n H B O C, which approval will not be unreasonable with h ld) mutually agreed with the Ministry of Health and M c K e sso n H B O C regarding services and uninterrupted maintenance in connection with the hardware and any other equipment used by the Department of Health for HISS during the course of its grant agreement and distributed by a party other than M cK essonH B O C.
Notwithstanding anything contained herein to the contrary, M k K essonH B O C's obligations and responsibilities with respect to any M od u l e shall vary from the date of submission U All relevant modes of the Software are as set forth in the HISS agreement and will be bound thereafter in accordance with the term of this Support Agreement. A party may cause this Support Agreement not to automatically renew by notice to the other party not less than thirty (30) days prior to the end of the initial term or any renewal term, subject to Section 4E hereof. The first quarterly fee (divided by the number of days in the quarter) shall be prorated on a daily basis from the date of production use to the end of the three-month calendar quarter. The Department of Health will pay to M cK esso n H B O Pocket Samples incurred by M cK esson H B O C in connection with the performance of the services below at the United N ations rates (as published from time to time). Services provided by M cK esson H B O C to the Ministry of Health which are in addition to the included services described in Section 2 or which are not the direct result of a software problem wifi be charged at McKessonHLBOC's then current Rates.

Each party warrants and represents to the other party that it is legally free to enter into this Support Agreement and that its execution has been properly authorized. The service organization will provide maintenance service in accordance with the terms of this contract for the customer's equipment listed in the attachment. EQUIPMENT TO BE MAINTENANCE SCHEDULE” hereinafter referred to as the Schedule and such Schedule constitutes an integral part of this Agreement, subject to the payment to the Service Organization of the annual base rates set forth in the Schedule as set forth in this Agreement.
Adjustments to the Schedule will be made by written notices and such notices will form part of this Agreement. Customer may request an extension of this Agreement by providing written notice to the Service Provider at least 60 days prior to the expiration of this Agreement.
