3 The License shall, in accordance with Section 11(1) of the Order, contain the terms attached hereto at the time of this grant (as such terms may be subsequently amended in accordance with their terms and in accordance with Sections 14, 14A -G and 18 of the Order or any other lawful amending authority as may exist from time to time). 4 Unless the contrary intent appears, words and expressions used in the terms of the License have the same meaning as given to them and are to be interpreted in accordance with the rules of construction and interpretation set forth in the terms of the License . on the date the License is granted.

Interpretation and Construction

Distribution license means a license granted or treated as granted under Section 10(1)(bb) of the Order. Supply business means the business of the Licensee in the supply of electricity in terms of the Licence.

5. The permit holder may not, in relation to the financial statements for a financial year, change the tax basis, the distribution or the distribution mentioned in subsection 4(b)(i) in relation to the previous financial year. year, unless the Authority shall have previously issued directions for the purposes of this Condition requiring the Licensee to modify such bases in a manner specified in the directions, or the Authority gives its prior written approval to the modification of such bases. In respect of the year commencing on 01 April 2017 and for each subsequent year, the Authority may pay the Licensee an amount (reimbursement) calculated in accordance with the method previously disclosed in writing to the Licensee and referring to the difference between: . a) the percentage of the license fee for that year paid by the Licensee attributable to the Authority's assessment of its costs in accordance with paragraph 3(a), and the General Consumer Council's or the Authority's (as the case may be) assessment of the costs of the General Consumer Council in accordance with paragraph 3(b); and.

6 Licensee's cost of Supplying Electricity to the premises specified or described in the Last Resort Supply Direction shall not exceed an amount which is expected to be, in the aggregate, approximately equal to Licensee's reasonable cost of supply (including , where applicable, the cost of purchasing electricity at short notice) and a reasonable profit. 8. The permit holder shall, insofar as is reasonably possible, notify the Authority at least five days in advance of any increase in the tariffs for the supply of electricity to premises to be supplied by it with electricity in accordance with a Charge Resort Supply Direction.

Claims for Last Resort Supply Payments

If the authority makes a decision in accordance with paragraph 6, the amount it determines must be treated as the appropriate amount for the purpose of paragraph 8. The licensee's request for payment of the emergency supply from the distribution owner must contain: a) the appropriate amount, which must pay distribution owner; and (b) whether payment will be made in quarterly or monthly installments.

4 Before entering into or entering into a Contract with a Domestic Customer, Licensee shall:. a) explain and bring to the attention of the Domestic Customer the Main Terms and Conditions of the Contract; And. 13 Licensee shall, upon request of a Domestic Customer and free of charge, send a copy of the then current set or sets of standard terms and conditions (as determined in accordance with this Term) applicable to the request (including, for the avoidance of doubt , the applicable fees and rates in relation to each of these sets).

Deemed Contracts

Where a licensee supplies electricity to a customer under a deemed contract, he shall not claim any sum of money or other compensation (whether financial or otherwise) from the customer merely because the deemed contract is terminated (in any manner whatsoever). 10 In determining the number of kilowatt-hours of electricity to be treated as supplied or taken to the premises under the purported contract, the licensee must act reasonably and take into account available data on electricity consumption for the premises and all other relevant factors.

5 The Code of Practice shall include the Licensee's agreements to:. a) creation and maintenance of a register which: i) lists all domestic customers of the Licensee who are of retirement age, disabled or chronically ill and have requested to be included in the register;. ii) contains sufficient information regarding the age, disability or chronic illness of each such Domestic Customer to identify his special needs or requirements;. 6 The Licensee, in relation to any household facility, to which he cuts off the electricity supply:. a) hold for at least a period of six months, or (where a complaint has been made in relation to the actions of the Licensee to interrupt supply) for at least a period of six months after the resolution of the complaint; and.

3. The arrangements made in the Code of Conduct pursuant to paragraph 2(e) must include contact details (including website addresses) of at least one organization providing information or assistance in relation to paragraph 2(e)(i) to be made available to Customers:. 4. The licensee must, no later than three months after this condition enters into force or a later date determined by the Authority, establish and submit to the Authority such arrangements which ensure that in cases where: a) The Authority considers that circumstances have arisen which would justify the Authority to revoke the Permit; or. b) The licensee proposes to transfer or hand over his business to another electricity supplier or cease his business as an electricity supplier. each of the Licensee's domestic prepaid customers is able to continue to use, and do so on the same basis, the prepaid metering services that the Licensee provides to that domestic customer until at least: 5 Licensee shall not prevent the customer from pre-purchasing its electricity through a prepayment meter.

10 Subject to paragraph 11, the Licensee shall comply with any Code to which this condition applies and which is approved by the Authority. 11 The Licensee shall provide the Authority with all assistance reasonably necessary to enable the Authority to monitor the implementation and operation of any Code and this.

4 The report shall be submitted, as far as is reasonably practicable, in a standard format determined by the Authority.

9 If the licensee believes that a meter reading taken by a customer is not reasonably accurate, it must take all reasonable steps to contact the customer and request a new meter reading. 14 The licensee must inform each of its customers about: a) on the rights of the party to initiate the licensee's complaints procedure (as set out in accordance with the requirements of condition 33);.

4 The Licensee shall, so far as is practicable, take steps to notify each of its customers of any change to the address or telephone number of the Service referred to in paragraph 1 before such change becomes effective.

Disclosure Date means, in relation to the Disclosure Period, the date on which the Authority (or a body appointed by the Authority) provides the Licensee with the information referred to in paragraphs 1 and 2. Fuel Blend Methodology means a methodology established by the Authority and amended from time to time, which between to others, it determines (i) the principles for calculating and verifying the information published by the licensee, (ii) the licensee's obligations to provide information (that and to a certain extent and in a certain form) to enable such calculation and verification, and ( iii) the manner and format in which the information is provided by or to the Licensee.

Wholesale Contracts and Electricity Derivatives

5 The Licensee shall provide to the Authority, in such manner and at such times as the Authority may specify, such information as the Authority may require, which is maintained by the Licensee in accordance with this Condition. Broadcasting Licensee means any person holding a license granted under section 10(1)(b) of the Order; and Wholesale Customer means a Customer who is purchasing.
